ACCEPTANCE OF TERMS
Welcome to the website of KTGI Capital Advisory ("KTGI," "Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," "Client," or "User") and KTGI Capital Advisory governing your access to and use of our website, content, publications, tools, and services provided by KTGI.
By accessing or using our website, engaging our advisory services, subscribing to our publications, or otherwise interacting with KTGI Capital Advisory, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease using our website and services. If you are accessing our website or engaging our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" or "Client" shall include that organization.
We reserve the right to modify these Terms at any time, as described in the Amendments and Modifications section below. Your continued use of our website or services following the posting of any changes constitutes your acceptance of those changes.
DESCRIPTION OF SERVICES
KTGI Capital Advisory provides strategic capital advisory services to businesses, promoters, boards of directors, chief financial officers, and senior management teams. Our advisory services encompass a range of strategic advisory offerings, including but not limited to capital structure advisory, fundraising strategy, mergers and acquisitions advisory, strategic financial planning, transaction structuring, investor relations advisory, corporate restructuring advisory, and other related strategic advisory services.
It is important to understand the scope and nature of our services clearly. KTGI Capital Advisory is a strategic advisory firm. We do NOT provide investment advice as defined under the Securities and Exchange Board of India (Investment Advisers) Regulations, 2013, or any other applicable securities regulation. We do NOT execute trades or transactions on behalf of clients or any other party. We do NOT provide portfolio management services or manage investment portfolios. We do NOT act as a stockbroker, sub-broker, or trading member of any stock exchange. We do NOT provide specific buy, sell, or hold recommendations for any securities, financial instruments, or investment products. We do NOT act as a mutual fund distributor or insurance agent.
Our services are limited to providing strategic advisory guidance and recommendations at a corporate and institutional level. Any decisions regarding specific investments, trades, financial transactions, or capital allocation are made solely by our clients and their respective authorized decision-makers. KTGI Capital Advisory bears no responsibility for the implementation, execution, or outcome of any decisions made by clients based on our advisory services.
NO FIDUCIARY RELATIONSHIP
The use of our website and the provision of our advisory services do not create a fiduciary relationship between KTGI Capital Advisory and any user or client, unless expressly stated in a separate, written advisory engagement agreement signed by an authorized representative of KTGI Capital Advisory. The information, content, and services provided on or through our website are for general informational and advisory purposes only and should not be construed as creating any fiduciary duty, trust relationship, or other special relationship of confidence between KTGI and any party.
Nothing in these Terms, on our website, or in any communication or publication from KTGI Capital Advisory shall be deemed to create, or shall be relied upon to establish, a fiduciary relationship, agency relationship, partnership, joint venture, or employer-employee relationship between KTGI and any user, visitor, or client.
NO GUARANTEED OUTCOMES OR RETURNS
KTGI Capital Advisory expressly disclaims any guarantee or assurance of specific outcomes, results, or returns arising from our advisory services. The capital markets, business environment, and regulatory landscape are inherently uncertain and subject to risks and variables beyond the control of any advisory firm. Past performance of advisory engagements, case studies described on our website, or any other historical information does not guarantee, predict, or indicate future results.
Any projections, estimates, forecasts, or forward-looking statements provided by KTGI Capital Advisory, whether in the course of an advisory engagement or on our website, are based on assumptions and expectations that may prove to be incorrect. Such projections and estimates are provided for informational and analytical purposes only and should not be relied upon as guarantees of specific outcomes. Actual results may differ materially from any projections or estimates due to a variety of factors, including market conditions, regulatory changes, economic factors, and other circumstances.
CLIENT ELIGIBILITY
Our advisory services are designed for and directed at businesses, corporate entities, promoters, boards of directors, chief financial officers, and senior management teams. Our services are not intended for retail investors, individual consumers, or the general public. By engaging our advisory services, you represent and warrant that you are a duly authorized representative of a business entity, a promoter, a member of a board of directors, a chief financial officer, a senior executive, or another individual with the authority and sophistication to evaluate and act upon strategic advisory guidance.
You further represent that you are at least eighteen (18) years of age, that you have the legal capacity and authority to enter into a binding agreement with KTGI Capital Advisory, and that your use of our services does not violate any applicable law, regulation, or agreement to which you are a party.
INTELLECTUAL PROPERTY
All content, materials, and intellectual property available on or through our website and services, including but not limited to text, articles, publications, research reports, presentations, graphics, logos, images, icons, software, proprietary frameworks, methodologies, analytical tools, models, templates, trade names, trademarks, service marks, and trade dress, are the exclusive property of KTGI Capital Advisory or its licensors and are protected by applicable intellectual property laws, including the Copyright Act, 1957, the Trade Marks Act, 1999, and the Patents Act, 1970, and other applicable Indian and international intellectual property laws.
All advisory frameworks, methodologies, proprietary models, branded service offerings, and analytical tools developed or used by KTGI Capital Advisory are our proprietary intellectual property. Any trademarks, service marks, trade names, and logos displayed on our website are registered or unregistered trademarks of KTGI Capital Advisory, and no license or right to use any such trademarks is granted to you by virtue of your use of our website or services.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the content on our website for your personal, non-commercial, informational purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, license, or otherwise exploit any content or materials from our website without our prior written consent. Any unauthorized use of our intellectual property may result in legal action.
Deliverables provided to a client in the course of a specific advisory engagement shall be subject to the intellectual property terms set forth in the applicable advisory engagement agreement. In the absence of a specific agreement, all intellectual property in advisory deliverables shall remain the exclusive property of KTGI Capital Advisory, with the client receiving a limited license to use such deliverables solely for their internal business purposes.
CONFIDENTIALITY OBLIGATIONS
Both parties acknowledge that in the course of our engagement and interactions, each party may receive or have access to confidential and proprietary information of the other party. Confidential information includes, without limitation, business plans, financial information, client lists, advisory strategies, proprietary methodologies, trade secrets, technical data, and any other information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Each party agrees to maintain the confidentiality of the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care. Neither party shall disclose, publish, or disseminate confidential information of the other party to any third party without the prior written consent of the disclosing party, except to those employees, agents, or advisors who have a need to know such information for the purposes of fulfilling the advisory engagement and who are bound by confidentiality obligations no less protective than those contained herein.
The obligations of confidentiality shall not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, is independently developed by the receiving party without reference to the confidential information, or is required to be disclosed by law, regulation, or court order, provided that the receiving party gives the disclosing party reasonable prior notice and cooperates in seeking protective measures.
FEES AND PAYMENT TERMS
The fees for our advisory services will be set forth in a separate advisory engagement agreement or proposal. Our fee structures may include retainer fees, success-based fees, hourly fees, project-based fees, or a combination thereof, as agreed upon between KTGI Capital Advisory and the client for each specific engagement.
Unless otherwise specified in the applicable engagement agreement, all fees are exclusive of applicable taxes, including Goods and Services Tax (GST). The client shall be responsible for the payment of all applicable taxes in addition to the advisory fees. Payment terms, including due dates, payment methods, and invoicing procedures, will be specified in the engagement agreement.
In the event of late payment, KTGI Capital Advisory reserves the right to charge interest on any overdue amounts at the rate of one and a half percent (1.5%) per month or the maximum rate permitted by applicable law, whichever is lower, from the date such payment was due until the date of actual payment. KTGI further reserves the right to suspend or terminate advisory services in the event of non-payment or material breach of payment obligations.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, KTGI Capital Advisory, its directors, officers, employees, agents, partners, affiliates, and advisors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, business opportunities, or other intangible losses, arising out of or in connection with your use of our website or services, any advisory recommendations or deliverables, any actions taken or not taken based on our advisory services, any interruption or cessation of our services, or any errors, inaccuracies, or omissions in our content or services, regardless of whether such damages are based on contract, tort, negligence, strict liability, or any other legal theory, and even if KTGI has been advised of the possibility of such damages.
In no event shall the total aggregate liability of KTGI Capital Advisory for any and all claims, losses, or damages arising out of or in connection with our website, services, or these Terms exceed the total fees actually paid by the client to KTGI Capital Advisory during the twelve (12) month period immediately preceding the event giving rise to such liability, or fifty thousand Indian Rupees (INR 50,000), whichever is greater.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless KTGI Capital Advisory, its directors, officers, employees, agents, partners, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with your use of our website or services in violation of these Terms, any breach of your representations or warranties under these Terms, your violation of any applicable law, regulation, or third-party rights, any content or information you submit or provide through our website, any decisions made or actions taken by you or your organization based on our advisory services, and any negligent, reckless, or willful misconduct on your part.
This indemnification obligation shall survive the termination of these Terms and any advisory engagement with KTGI Capital Advisory.
DISCLAIMER OF WARRANTIES
Our website and all content, materials, and services provided therein are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, KTGI Capital Advisory expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, completeness, timeliness, and availability.
KTGI Capital Advisory does not warrant that our website will be uninterrupted, error-free, secure, or free of viruses or other harmful components, that any defects will be corrected, that the content on our website is accurate, complete, current, or reliable, or that our advisory services will achieve any particular results or outcomes.
GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of India, without regard to any conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms, our website, or our services shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue on the grounds of inconvenient forum or otherwise.
DISPUTE RESOLUTION
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, our website, or our services ("Dispute"), the parties agree to attempt to resolve the Dispute through the following escalation process:
Good Faith Negotiation: The parties shall first attempt to resolve the Dispute through good faith negotiation between senior representatives of each party. The party raising the Dispute shall provide written notice to the other party describing the nature of the Dispute and the relief sought. The parties shall use their best efforts to resolve the Dispute through direct negotiation within thirty (30) days of receipt of such notice.
Mediation: If the Dispute is not resolved through good faith negotiation within thirty (30) days, either party may refer the Dispute to mediation before a mutually agreed-upon mediator in Mumbai, Maharashtra, India. The costs of mediation shall be shared equally by the parties. The mediation shall be conducted in English, and the mediation proceedings shall be confidential.
Arbitration: If the Dispute is not resolved through mediation within sixty (60) days of the commencement of mediation, either party may refer the Dispute to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or in the absence of agreement, appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra, India. The language of arbitration shall be English. The arbitrator's award shall be final and binding on the parties, and judgment upon the award may be entered in any court of competent jurisdiction. The costs of arbitration shall be borne as determined by the arbitrator.
TERMINATION
KTGI Capital Advisory reserves the right to terminate or suspend your access to our website and services, in whole or in part, at any time and for any reason, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, breach of these Terms, non-payment of fees, engagement in unlawful or fraudulent activity, or conduct that we determine, in our sole discretion, to be harmful to our business, reputation, or other users.
You may terminate your use of our website and services at any time by ceasing to access and use them. Termination of an advisory engagement shall be governed by the terms of the applicable advisory engagement agreement.
Upon termination, your right to access and use our website and services shall immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, confidentiality obligations, limitation of liability, indemnification, disclaimer of warranties, and dispute resolution provisions.
FORCE MAJEURE
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government actions or orders, strikes, lockouts, labor disputes, fire, flood, earthquake, power outages, telecommunications failures, internet service disruptions, cyberattacks, or any other force majeure event. The affected party shall notify the other party of the force majeure event as soon as reasonably practicable and shall use reasonable efforts to mitigate the impact of the event.
NO ASSIGNMENT
You may not assign, transfer, or delegate your rights or obligations under these Terms, in whole or in part, without the prior written consent of KTGI Capital Advisory. Any purported assignment without such consent shall be null and void. KTGI Capital Advisory may assign its rights and obligations under these Terms to any affiliate or successor entity without your consent, provided that such assignee agrees to be bound by these Terms.
SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, while preserving the original intent of the parties to the maximum extent possible.
NO WAIVER
The failure of KTGI Capital Advisory to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any provision of these Terms shall be effective unless it is in writing and signed by an authorized representative of KTGI Capital Advisory. A waiver of any right or provision on one occasion shall not be deemed a waiver of such right or provision on any subsequent occasion.
ENTIRE AGREEMENT
These Terms, together with any applicable advisory engagement agreement, our Privacy Policy, and any other legal notices or policies published by KTGI Capital Advisory on our website, constitute the entire agreement between you and KTGI Capital Advisory with respect to your use of our website and services, and supersede all prior or contemporaneous communications, proposals, agreements, and understandings, whether oral or written, between the parties with respect to the subject matter hereof.
In the event of any conflict between these Terms and an advisory engagement agreement, the terms of the advisory engagement agreement shall prevail with respect to the specific advisory engagement to which it relates, and these Terms shall prevail in all other respects.
AMENDMENTS AND MODIFICATIONS
KTGI Capital Advisory reserves the right to amend, modify, or update these Terms at any time, in its sole discretion, by posting the revised Terms on our website with a revised "Last Updated" date. It is your responsibility to review these Terms periodically for changes.
Material changes to these Terms will be communicated through a prominent notice on our website or, where practicable, by email notification to the address associated with your account. Your continued use of our website or services after the posting of any amended Terms constitutes your acceptance of and agreement to be bound by the amended Terms. If you do not agree to the amended Terms, you must immediately cease using our website and services.
